1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and PremiumClients.ai ("Company", "we", "us") governing your access to and use of the Aria AI voice agent platform and related services.
By accessing or using our platform, creating an account, or subscribing to our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
2. Service Description
Aria is an AI-powered voice agent platform that provides automated phone call handling, appointment scheduling, call transcription, and customer interaction services for businesses. The service operates 24/7 and supports multiple languages.
We reserve the right to modify, update, or discontinue features of the service with reasonable notice. We will provide at least 30 days' notice for material changes that significantly affect your use of the service.
3. Eligibility
To use our services, you must be: at least 18 years of age; a legally registered business entity within the European Union or EEA (or have the authority to bind such an entity); and able to enter into legally binding contracts.
By registering, you represent and warrant that you meet these eligibility requirements and that all registration information is accurate and complete.
4. Account Terms
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access.
You agree to provide accurate, current, and complete account information and to update it as necessary. We may suspend or terminate accounts with materially inaccurate information.
Each account is for a single business entity. You may not share your account credentials with unauthorized third parties or allow multiple entities to use a single account.
5. Payment and Billing
Subscription fees are billed in advance on a monthly basis. Prices are quoted in Euros (EUR) and include applicable VAT where required. The current setup fee is a one-time charge, and the monthly subscription fee is recurring.
Payment is processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for the applicable fees. Failed payments may result in service suspension after a 7-day grace period.
Refund Policy: We offer a 14-day cooling-off period for new subscriptions in accordance with EU consumer protection directives. After this period, subscription fees are non-refundable for the current billing period. Setup fees are non-refundable once the agent has been configured and activated.
6. Acceptable Use
You agree to use Aria only for lawful business purposes. Prohibited uses include: any activity that violates applicable laws or regulations; transmitting harmful, threatening, or offensive content; attempting to gain unauthorized access to our systems; using the service for unsolicited marketing calls or spam; impersonating individuals or misleading callers about the nature of the AI system; processing special categories of personal data (health, biometric, etc.) without appropriate legal basis.
Violation of these acceptable use policies may result in immediate suspension or termination of your account without refund.
7. Intellectual Property
All intellectual property rights in the Aria platform, including software, algorithms, AI models, designs, and documentation, remain the exclusive property of PremiumClients.ai. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for your business operations.
You retain ownership of your business data, call content, and any custom configurations. We claim no ownership over your data and process it solely as described in our Privacy Policy and Data Processing Agreement.
8. Limitation of Liability
To the maximum extent permitted by applicable EU law, PremiumClients.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the service.
Our total liability for any claims arising under these Terms shall not exceed the total amount paid by you in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any liability that cannot be excluded under applicable EU or national law.
9. Termination
Either party may terminate these Terms by providing 30 days' written notice. We may also suspend or terminate your access immediately if you breach these Terms or if required to do so by law.
Upon termination, your right to use the service ceases immediately. We will make your data available for export for 30 days following termination, after which it will be securely deleted in accordance with our Privacy Policy.
10. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Cyprus and applicable European Union law. The courts of Cyprus shall have non-exclusive jurisdiction over any disputes arising from these Terms.
For consumer disputes, you may also use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
11. Changes to Terms
We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or prominent notice on the platform. Your continued use after the effective date constitutes acceptance of the revised Terms. If you disagree with any changes, you may terminate your account before the changes take effect.
